This indenture is made on Saturday of 29th of December, 2001 B/W Dr. Malali Gowda, born in Anuganalu village with occupation as Plant Molecular Biologist. His native place (Anuganalu) was previously surrounded by thick forest with a balanced ecosystem but this forest was cleared indiscriminately. Intensive agriculture, ground water exploitation and other human activities have resulted in lack of rainfall, depletion of water table, ecological imbalance and environmental pollution. Due to large-scale deforestation by human activities, bio-diversity is under great threat and witnessed extinction of plants, animals and microbes.

 


Our rules and Regulations: Protect biodiversity through afforestation methods.

 

Dr. Malali Gowda has initiated the conservation/preservation of bio-diversity of organisms through Afforestation methods in the marginal and agricultural land since January 2000. He has done Afforestation with the saving from his Ph.D. fellowship. With his ambitious effort is that he has converted uncultivable land into green land with in three years with the help of farmers from his village. He has also created great awareness among the local people/farmers in many villages. He is interested in expanding the environment and bio-diversity conservation work through Afforestation in wider areas with the co-operation and help of local people. The Settlor or Founder Dr. Malali Gowda is desirous to establish a Trust entitled “Bio-diversity Conservation & Research Trust” (BCRT) for the purpose of conservation of Bio-diversity and Environment to mark the new Millenium. The trust and its office is located in Anuganalu Village (Ugane Post, Salagame Hobli, Hassan Taluk and District, Karnataka) India.

 

THE OBJECTS OF THE TRUST SHALL BE:

a) To conserve or preserve the natural resources including living and nonliving resources and maintain the ecosystem.

 

b) To create awareness among local people of environment, ecology, natural food chain, forest, plants, animals and microorganisms of their help and uses.

 

c) To establish, promote, set-up, maintain or aid or to help in the setting up of research institutions for conservation of bio-diversity and also educating the people on conservation of forest and forest wealth for maintaining of ecological balance.

 

d) To render any assistance in form of cash or kind to people for planting of saplings and also awarding people who are actively involved in conservation efforts.

 

e) To render/provide assistance in implementation of any scheme sponsored by the state or central government or foreign countries/institutional for conservation and growing of forest to maintain ecological balance in and around villages.

 

f) To provide/render monetary or other help and assistance or contribute or to donate to any institution establishment or person for conservation of bio-diversity and to preserve forest, forest produces and ecological balance.

 

g) To start, maintain and assist any relief measures in those parts of villages where deforestation on a large scale has resulted in the ecological imbalance.

 

h) To construct and maintain any institution which is concerned with the afforestation scheme and for planting of trees to improve greenery on a large scale.

 

i) To open, establish, promote, set-up, run, maintain, assist, financially support or aid or help in the setting up or maintain or run schools, institutions for bio-diversity conservation through afforestation or environmental schemes in rural and urban areas and also maintain by adopting local and modern technologies.

 

j) To meet traveling, boarding and lodging expenses of student who go abroad or to other states/countries to study Afforestation methods and biodiversity conservation.

 

k) To publish research articles in journals or books, pamphlets, periodicals, and newspapers in India or outside India and channel the advancement of education and technology towards ecological balance.

 

l) To assist or set up or establish nurseries for preservation of medicinal plants, herbs and shrubs, and also educate the people on the importance of preserving and growing medicinal plants in and around the villages.

 

m) The Trustees in the above Trust may conduct research on forestry, horticulture, agriculture and animal husbandry.

 

n) To establish, promote, maintain or aid or to help in the setting up natural or artificial parks, sanctuaries, zoo and museums for conserving wild plants and animals.

 

o) To establish or setup modern research labs including Tissue culture, biotechnology and any molecular biology laboratories to conserve endangered organisms.

 

p) Conservation of native germplasm of locally adopted plant, animals and microbial species and also introduction of exotic species to enrich the biodiversity.

 

THE BOARD OF TRUSTEES SHALL HAVE FOLLOWING FUNCTIONS:

1)  To arrange or authorize the signing or execution of any deed on behalf of the trust like agreement, contract, instrument which shall be binding on the other trustees.

 

2) To appoint committee/sub-committee of trustees or others to supervise or conduct the functions of trust in such manner subject to such rules and regulations as prescribed by the trustees.

 

3) To authorize any one of the Trustees to hold any property on behalf of the trust or any investment subject to such terms and conditions.

 

4) To purchase any immovable property with the corpus or income from the trust fund or for construction of any building, labs, research centers for the purpose of carrying out the objectives and purposes of the trust.

 

5) The Trustees should maintain proper books of accounts for income received and accrued to the trust property and appoint Chartered Accountant and Advisors to the Trust from time to time in relation to the object or purposes of trust.

 

6) The financial year of the Trust shall end on 31st March of every year, provided that the trustees shall be at liberty to change the same if they so deem it fit and proper.

 

7) The Trustees from time to time after meeting shall decide the objectives for which the income or corpus of the trust fund or properties available for the time being shall be applied.

 

8) The Trustees may invest or mortgage the Trust property as prescribed by law from time to time provided such investments shall not be made for the benefit of any individual directly or indirectly referred to sub sec.3 of 13 of the income Tax Act 1961.

 

9) If the income from the investment or from the Trust property is not utilized for a particular year such amount shall be carried over to the next financial year or years for the fulfillment of the objects of trust.

 

10) The Trustees shall keep and maintain account in the nationalized banks to operate such account and authorize any one of the Trustees to maintain such account or accounts.

 

11) The Trustees may appoint Secretary, Managers, Lawyers, Auditors, Engineers, Scientists or such other employees for the purpose of management of the Trust property and objectives.

 

12) The Trustees may establish the offices at such places as they deem fit or may change offices from time to time and from one place to another place.

 

13) The Trustees may join, amalgamate, co-operate with any other Trust having the same objectives purposes upon such terms/conditions as they deem fit.

 

14) The Trustees from time to time may frame such rules and regulations, schemes to carry out the objectives of the Trust.

 

15) Trustees may reimburse themselves for any amount spent while discharging the duties and functions of the Trust and account for the same regularly.

 

16) Number of Trustees shall not be less than two and not more than 15 at a given time.

 

17) Any two Trustees shall form a Quorum for any meeting of the Trustees.

 

18) All proceedings, questions and matters arising at the meeting of the Trustees shall be decided by majority of voting. In case of deadlock, resolved and taken final decision by the chairman, no matters concerning the Trust properties or investment of the corpus shall be decided except with the consent of the chairman.

 

 19) The resolution/resolutions dually signed by Trustees circulated among Trustees shall be binding and shall have the effect as if it has been passed in a meeting.

 

20) Meetings shall be held at the Trust offices or at any other place as decided by Trustees or by the chairman.

 

21) If any Trustees who is unable to attend the meeting shall send his views by other person and shall be binding on him as if he was present on the day of meeting.

 

22) The overviews of meeting shall be recorded in register and maintained time-to-time and signed by the chairman or secretary.

 

23) The Settlor/ Founder can appoint any Trustee to act by or on behalf of himself whenever the Settlor/Founder is not in station.

 

24) No person being un-discharged insolvent or convicted of an offence or involved in moral turpitude or of unsound mind or a minor shall not be eligible to be a Trustee.

 

25) The power to appoint new or additional trustee, as not to exceed the maximum number and to fill vacancies in the office of the Trustee shall vest in the continuing Trustee/Trustees.

 

26) A person shall cease to be Trustee in any of the following events, (a) if he dies, (b) if he becomes a bankrupt, (c) if he becomes insane/otherwise incapable to act, (d) if he/she resigns his Office and (e) if he/she does not follow the Trust objectives.

 

27) On a new/additional Trustee being appointed and on his acceptance in writing to the effect of his/her accepting the appointment, the Trust property shall automatically vest in him along with the other Trustees for the time being and he will be entitled to carryout all the duties and functions of a Trustee without any other deed/writing.

 

28) The board of Trustees shall be entitled to sue in the name of the Trust and may similarly be sued in the name of the Trust.

 

29) Trustees may dismiss/remove, permanently or otherwise, any Trustee by unanimous decision in the meeting, if found guilty of serious misconduct or misappropriation concerning the Trust estate, after a thorough inquiry and after giving him a fair trial to give him an opportunity to explain himself, but the decision will be final and binding and shall not be called in question in any time.

 

30) The “Board of Trustees” shall be dedicated to the improvement of Trust and work to achieve Trust goals.
